Merchant & Seller Agreement

1. Introduction

This Merchant & Seller Agreement (the "Agreement") is a legally binding contract between Braai (Pty) LTD (Registration: 2026 / 374290 / 07) and BuzzGrowth (Pty) LTD (collectively "Braai", "we", "us") and you ("Merchant", "Seller", "you").

This Agreement governs your use of the Braai Marketplace to list, sell, and facilitate the exchange of goods and services. By registering as a Merchant, you agree to these terms in addition to our Universal Terms of Service.

2. "Warmth-Based Escrow" & Global Payments

To protect the community, Braai operates a secure payment facilitation system backed by Bank Zero and our global payment partners:

• Payment Facilitation: We support diverse global payment methods including Paystack, PayPal, and Cryptocurrency to ensure inclusive trading.
• Warmth-Based Escrow: When a buyer purchases an item, funds are held securely. Funds are released to the Merchant only once the buyer confirms receipt via the app.
• Dispute Holding: If a dispute is raised, funds remain in escrow until resolved through our Mediation Process.

3. Merchant Obligations & Conduct

As a Merchant on Braai, you are a representative of the community spirit. You must:

• Accurate Representation: Ensure all listings, images, and descriptions are 100% accurate and not misleading.
• Statutory Compliance: Comply with the South African Consumer Protection Act (CPA), including return and refund obligations.
• KYC Verification: Complete the "Merchant Pulse" identity verification process before your first listing goes live.

4. Data Privacy & POPIA Compliance

When you receive a buyer's delivery information, you become an Independent Operator of that personal data under POPIA:

• Purpose Limitation: You may ONLY use the buyer's data for the specific purpose of fulfilling the order.
• No Marketing: You are strictly prohibited from adding buyers to mailing lists or profiling their data without explicit, separate consent.
• Mandatory Deletion: You MUST delete all buyer contact and delivery information from your systems within 30 days of the transaction being completed.

5. Prohibited Items

You may not use the Braai Marketplace to sell:

• Illegal drugs, prescription medication, or drug paraphernalia.
• Weapons, ammunition, or explosives.
• Adult-oriented content or services.
• Counterfeit goods or items that infringe on intellectual property.

6. Fees & Commissions

Braai charges a platform commission fee on all transactions. Fee schedules are provided in your Merchant Dashboard. Digital items sold via BraaiCoins are subject to specific conversion and platform usage fees.
